Terms of Service
Plain-language summary, which does not replace the terms below. You get a tool that watches advertised prices and helps you run your own MAP policy. You decide what your policy is and what notices go out; we do not give legal advice. Use it lawfully, keep your account secure, and respect the terms of the marketplaces you connect.
1. Agreement
By creating an account or using the Service you agree to these terms and to our Privacy Policy. If you use the Service for an organisation you confirm you can bind that organisation, and "you" means the organisation.
2. Accounts
You must provide accurate information, keep your credentials confidential and use two-factor authentication where offered. You are responsible for activity under your account. Tell us at once if you believe it has been compromised.
3. The Service
EagleEnforce reads publicly advertised prices from dealer websites you specify and, when you connect them, from marketplaces through their official interfaces; compares those prices with the Minimum Advertised Price you set; records evidence; and runs an enforcement workflow you configure, sending notices only after a person on your team approves them where approval is required.
Monitoring is best-effort. Websites change, block automated reading, hide prices, or go offline. We show you when a listing could not be read and why, but we do not guarantee that every listing is read on every cycle or that every violation is detected.
4. Your responsibilities
- Your policy is yours. A MAP policy has to be unilateral, lawful and consistently applied. You are responsible for the content of your policy, for deciding who is an authorised dealer, and for every notice you approve. The Service and our staff do not provide legal advice.
- Lawful use. You may not use the Service to coordinate prices with competitors, to monitor individuals rather than businesses, to harass anyone, or in any way that violates the law, a marketplace's terms, or a website's terms where those apply to you.
- Connected accounts. When you connect a store or a marketplace account you confirm you are entitled to do so and that our reading data through that connection is permitted by that platform's terms.
- Customer content. You are responsible for the data you upload or enter, including dealer contact information, and for having the right to use it for enforcement of your policy.
- Acceptable use. No attempts to bypass rate limits or plan limits, reverse engineer the Service, resell access without our agreement, or interfere with other customers.
5. Our data collection practices
We collect data the legal way: official marketplace interfaces, public dealer pages read within their robots.txt rules, a crawler that identifies itself, no proxies and no circumvention of technical protection. You may not ask us to do otherwise. See our crawler page.
6. Content and intellectual property
You own your customer content and grant us a licence to process it to provide the Service. We own the Service, its software, design and documentation. Evidence captures are provided for your use in enforcing your policy; the underlying pages remain the property of their publishers.
7. Plans, trials and payment
Plans, limits and prices are as quoted to you in writing. Trials are free for the stated period and convert only if you choose a plan. Fees are billed in advance for the term selected and are non-refundable except where the law requires. We may change prices with at least 30 days' notice, effective at your next renewal. If you exceed your plan's limits, new items beyond the limit are not added until you upgrade; existing data is never removed for that reason.
8. Suspension and termination
You may close your account at any time. We may suspend or terminate access for a material breach of these terms, for non-payment, or where continued use would create legal risk for us or harm to others, with notice where practicable. After termination we delete your content within 90 days unless you ask for earlier deletion, and we can provide an export on request before then.
9. Third-party services
The Service uses providers listed in the Privacy Policy, including Google Maps Platform and marketplace interfaces. Your use of a marketplace remains subject to that marketplace's terms. We are not responsible for the availability or accuracy of third-party services.
10. Disclaimers
The Service is provided "as is" and "as available". We disclaim all warranties not expressly stated here, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that any evidence will be sufficient for any legal proceeding, or that any notice will produce a particular result.
11. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue, arising out of the Service. Our total liability under these terms is limited to the fees you paid us in the twelve months before the claim. These limits do not apply to a party's indemnity obligations, wilful misconduct, or liability that cannot be limited by law.
12. Indemnity
You will defend and indemnify us against third-party claims arising from your customer content, your MAP policy, notices you approve, or your breach of these terms. We will defend and indemnify you against third-party claims that the Service, as provided by us, infringes that party's intellectual property.
13. Governing law and disputes
These terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. The parties will try in good faith to resolve any dispute informally for 30 days before starting proceedings in the state or federal courts located in St. Lawrence County, New York, to whose jurisdiction both parties consent.
14. Changes to these terms
We may update these terms. For material changes we give account holders at least 30 days' notice by email or in the application. Continued use after the effective date is acceptance.
